These Terms contain important provisions that limit our liability and affect your legal rights — including a disclaimer of warranties, a limitation of liability, an indemnity, and a binding arbitration agreement with a class-action waiver (Section 16). Please read them carefully. By using BillPulse you agree to all of them.

1. Acceptance of these Terms

These Terms of Service ("Terms") are a binding agreement between you and billpulse.io ("BillPulse," "we," "us," or "our") and govern your access to and use of the BillPulse website, applications, and services (the "Service"). By accessing or using the Service, creating an account, or clicking to accept, you agree to these Terms, our Privacy Policy, our Disclaimer, our Refund & Cancellation Policy, and our Cookie Policy, all incorporated by reference. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old, a resident of the United States, and able to form a binding contract to use the Service. By using it, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

3. The Service is an informational tool — not professional advice

BillPulse provides automated, software- and AI-assisted tools that read medical-billing documents, flag possible errors and overcharges, estimate potential savings, and generate template dispute letters. The Service is for informational and educational purposes only and does not constitute legal, medical, tax, financial, insurance, credit-repair, or any other professional advice. No professional or fiduciary relationship is created by your use of the Service. Output may be inaccurate or incomplete and is not guaranteed. You are solely responsible for reviewing, verifying, and deciding whether to act on any output and for anything you submit to any third party. 4. Accounts & security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information, keep it current, and notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or legal risk.

5. Your content & uploads

You retain ownership of the documents and information you upload ("Your Content"). You represent and warrant that you have the right to upload Your Content and that doing so does not violate any law or third-party right. You grant BillPulse a limited, non-exclusive, worldwide, royalty-free license to use, process, and transmit Your Content solely to operate and provide the Service to you (including transmission to third-party AI and infrastructure providers for analysis). As described in our Privacy Policy, uploaded bill images are processed transiently and are not retained after analysis. Do not upload information you are not authorized to share, or another person's information without their authorization.

6. Acceptable use

You agree not to, and not to permit anyone to:

  • use the Service for any unlawful, fraudulent, or deceptive purpose;
  • submit false, forged, or unauthorized documents or claims to any party;
  • upload malware or content that infringes or violates any third-party right;
  • reverse engineer, decompile, scrape, data-mine, or attempt to access the Service or its data other than through the interfaces we provide;
  • resell, sublicense, or commercially exploit the Service without our written consent;
  • interfere with, overload, or disrupt the Service or circumvent any usage limit, paywall, security, or rate-limiting measure;
  • use the Service to provide professional services to third parties unless expressly authorized in writing.

7. Plans, billing, renewal & price changes

Some features require a paid subscription. Prices, plan limits, and features are described at checkout and on our Pricing page. Payments are processed by our third-party payment processor (Stripe); we do not store your full card details. By subscribing you authorize us and our processor to charge your payment method the applicable fees, plus any taxes, on a recurring basis. Subscriptions automatically renew at the end of each billing period at the then-current price until you cancel. We may change prices or plan features prospectively; we will provide notice as required by law, and continued use after a change takes effect constitutes acceptance.

8. Cancellation & refunds

You may cancel at any time through your account billing portal; cancellation takes effect at the end of the current billing period and you retain access until then. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial periods, unused analyses, or dissatisfaction with results (which are never guaranteed). 9. Intellectual property

The Service, including its software, text, design, logos, and content (excluding Your Content), is owned by BillPulse or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your own personal, non-commercial purpose, subject to these Terms. All rights not expressly granted are reserved.

10. Third-party services

The Service integrates third-party services (for example, payment processing, AI model providers, email delivery, and hosting). Your use of those services may be subject to their own terms and privacy practices. We are not responsible for third-party services, and their availability or performance is outside our control.

11. Disclaimer of warranties

THE SERVICE AND ALL CONTENT AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BILLPULSE AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY OF ACCURACY, RELIABILITY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THAT ANY ERROR WILL BE DETECTED, THAT ANY SAVINGS, REFUND, OR DISPUTE OUTCOME WILL BE ACHIEVED, OR THAT ANY OUTPUT IS ACCURATE, COMPLETE, OR CURRENT. YOU ASSUME ALL RISK FROM YOUR USE OF THE SERVICE AND ANY RELIANCE ON ITS OUTPUT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BILLPULSE OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR SAVINGS, OR FOR ANY AMOUNTS BILLED, DISPUTED, OR PAID TO ANY THIRD PARTY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BILLPULSE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO BILLPULSE IN THE THREE (3) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold harmless BillPulse and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) Your Content or anything you submit to a third party; (b) your use or misuse of the Service; (c) your violation of these Terms or any law or third-party right; or (d) your reliance on any output of the Service.

14. Termination

We may suspend or terminate your access at any time, with or without cause or notice, including for any violation of these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination (including Sections 5, 9, and 11–18) will survive.

15. Governing law & venue

These Terms, and any dispute, claim, or matter arising out of or relating to them or to the Service (whether in contract, tort, statute, or otherwise), are governed by and construed in accordance with the laws of the State and county within the United States in which billpulse.io is organized or maintains its principal place of business (its "Home Jurisdiction"), without regard to conflict-of-laws principles and excluding the United Nations Convention on Contracts for the International Sale of Goods. Subject to the arbitration agreement in Section 16, you and billpulse.io agree that the exclusive venue for any dispute, claim, or proceeding not subject to arbitration shall lie solely in the state or federal courts of competent jurisdiction located in billpulse.io's Home Jurisdiction, and you irrevocably consent and submit to the personal jurisdiction and venue of those courts and waive any objection based on inconvenient forum (forum non conveniens). If you access the Service from outside the United States, you do so on your own initiative and are responsible for compliance with your local laws; this clause applies to the maximum extent permitted by applicable law.

16. Binding arbitration & class-action waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR RIGHTS. Except for claims that may be brought in small-claims court and requests for injunctive relief to protect intellectual property, you and BillPulse agree that any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved by final and binding individual arbitration administered by a recognized arbitration provider under its consumer rules, rather than in court. You and BillPulse waive any right to a jury trial and to participate in a class, collective, or representative action. Claims must be brought in your individual capacity only. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and may proceed in court. You may opt out of this arbitration agreement by emailing legal@billpulse.io within 30 days of first accepting these Terms.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where required, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

18. General

These Terms, together with the policies incorporated by reference, are the entire agreement between you and BillPulse regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. We are not liable for any failure or delay caused by events beyond our reasonable control (force majeure).
